Kindeaver Terms of Service

Welcome to Kindeaver! These Terms of Service ("Terms") govern your access to and use of the Kindeaver platform, including our website, mobile applications, and any other services we provide (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
1. About Kindeaver
Kindeaver is a platform that facilitates fundraising for various causes and projects within Uganda. We connect individuals and organizations ("Campaign Organizers" or "Fundraisers") seeking to raise funds with individuals and organizations ("Donors") willing to contribute. Kindeaver acts as an intermediary and payment processor. However, please note that we are not responsible for the ultimate use of donated funds by Campaign Organizers.
2. Eligibility
You must be at least 18 years old to use the Kindeaver Platform. By using the Platform, you confirm that you meet this age requirement and have the legal capacity to enter into a binding contract.
3. Account Registration & Security
Registration To access certain features of the Platform, you may need to register for an account. You agree to provide accurate, complete, and current information during the registration process and to keep this information updated.
Account Security You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Kindeaver immediately of any unauthorized access to or use of your account.
Account Responsibility You are solely responsible for all activity that occurs on your account.
4. Campaign Organizer Terms
Campaign Creation As a Campaign Organizer, you can create a fundraising campaign on our Platform. You agree to provide accurate and complete information about your campaign, including its purpose, the amount of funds sought, and the timeline.
Fundraising Purpose You agree to use all donated funds solely for the purpose described in your campaign.
Transparency and Reporting You are responsible for providing regular updates to Donors about the progress of your campaign and the use of funds. You may be required to provide financial reports or other documentation to Kindeaver or Donors upon request, in accordance with Ugandan law.
Legal Compliance You are responsible for ensuring that your campaign and the use of any raised funds comply with all applicable laws and regulations in Uganda, including but not limited to laws relating to charitable fundraising, financial transactions, and tax obligations.
Withdrawal of Funds Kindeaver will facilitate the transfer of donated funds to you according to our payment processing policies. You may be required to provide necessary documentation, including but not limited to valid identification and bank account details, to receive funds.
Campaign Removal Kindeaver reserves the right to remove any campaign from the Platform that we deem to be inaccurate, misleading, fraudulent, or in violation of these Terms or any applicable laws.
Refund Obligations & Deductions In the event a Donor requests and is granted a refund for a donation made to your campaign, you understand and agree that Kindeaver will deduct the refunded amount from your Campaign Organizer account balance. You authorize Kindeaver to deduct such amounts from any available balance you hold with Kindeaver, regardless of the source of those funds, to ensure the refund is fully processed to the Donor. This obligation to refund exists even if your primary campaign funds have been fully withdrawn or are insufficient. Kindeaver will continue to attempt to deduct the necessary funds from your account until the refund is complete, provided the refund request was made within the initial 7-day window.
5. Donor Terms
Donation As a Donor, you agree to provide accurate and complete payment information when making a donation.
Donation Amount You are solely responsible for the amount of your donation.
Donation Receipt You will receive a receipt for your donation. Please keep this for your records.
Use of Funds While Kindeaver takes steps to ensure the legitimacy of campaigns, we cannot guarantee that donated funds will be used for the exact stated purpose.
Refunds Donations are generally non-refundable. Any requests for refunds will be handled on a case-by-case basis at Kindeaver's discretion, in accordance with applicable Ugandan consumer protection laws and our own refund policy, which can be found here.
6. Fees
Kindeaver charges fees for its services, as outlined on our Fees Page. We reserve the right to change our fee structure at any time, but we will provide reasonable notice of any such changes.
7. Prohibited Conduct
You agree not to use the Platform to:
  • Violate any applicable laws or regulations in Uganda, including those related to money laundering, terrorism financing, and fraud.
  • Engage in any fraudulent, deceptive, or misleading activity.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the operation of the Platform.
  • Transmit any viruses or other harmful code.
  • Collect or harvest any information about other users without their consent.
  • Promote hate speech, discrimination, violence, or any other form of harmful content.
  • Engage in any activity that could damage the reputation of Kindeaver.
  • Raise funds for any illegal activity.

8. Intellectual Property
The Platform and its content, including but not limited to text, graphics, logos, and software, are owned by Kindeaver or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works of the Platform or its content without our prior written consent.
9. Privacy
Your privacy is important to us. Please review our Privacy Policy here, which explains how we collect, use, and disclose your personal information.
10. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Kindeaver does not warrant that the Platform will be uninterrupted or error-free, or that any defects will be corrected.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Kindeaver shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for lost profits, lost data, or personal injury, arising out of or in connection with your use of the Platform, even if Kindeaver has been advised of the possibility of such damages. Kindeaver's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount of fees you have paid to Kindeaver in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Kindeaver harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any applicable laws or regulations.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Uganda.
14. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through [mediation/arbitration] in Kampala, Uganda, in accordance with the rules of the [Center for Arbitration and Dispute Resolution (CADER) / other relevant institution]. If mediation/arbitration is unsuccessful, the dispute shall be resolved in the courts of Uganda.
15. Changes to These Terms
Kindeaver reserves the right to modify these Terms at any time. We will provide reasonable notice of any material changes, such as by posting the updated Terms on the Platform or sending you an email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.
16. Termination
Kindeaver may terminate your access to the Platform at any time, with or without cause, and with or without notice. You may also terminate your account at any time.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
18. Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.
19. Entire Agreement
These Terms constitute the entire agreement between you and Kindeaver with respect to your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written.
